These Website Terms of Use, Terms of Sale, and Product Disclaimers (“Terms”) govern your use of the FlagSentry website, online store, customer dashboard, device portal, replacement flag system, software services, subscriptions, communications, products, and services.

For purposes of these Terms, “FlagSentry,” “Company,” “we,” “us,” and “our” mean Guru Gear LLC, operating the FlagSentry product line and brand, together with its owners, members, managers, officers, employees, contractors, agents, affiliates, subsidiaries, parent companies, suppliers, manufacturers, service providers, successors, assigns, licensees, transferees, and any future company or entity that owns, operates, acquires, licenses, or continues the FlagSentry product line, website, dashboard, software, hardware, services, customer accounts, or related business.

FlagSentry may later become its own legal entity, be transferred to another entity, be assigned, sold, licensed, reorganized, merged, spun off, or operated by a related or successor company. If that occurs, these Terms, including all disclaimers, limitations of liability, warranty limitations, indemnity rights, intellectual property rights, customer obligations, data rights, and other protections, shall continue to protect Guru Gear LLC, FlagSentry, and any successor, assignee, transferee, licensee, affiliate, purchaser, merged entity, reorganized entity, or future operating company.

By visiting this website, creating an account, placing an order, purchasing a product, using a FlagSentry device, using the FlagSentry dashboard, subscribing to a FlagSentry service, or otherwise interacting with FlagSentry, you agree to these Terms.

If you do not agree to these Terms, do not use this website, purchase products from FlagSentry, or use FlagSentry products or services.

1. Definitions

“FlagSentry,” “Company,” “we,” “us,” and “our” mean Guru Gear LLC, operating the FlagSentry product line and brand, together with its protected parties, successors, assigns, affiliates, licensees, transferees, and future operating entities.

“Customer,” “you,” and “your” mean any person, business, organization, municipality, school, institution, government entity, nonprofit, or other party using the website, purchasing products, using a FlagSentry device, or using FlagSentry services.

“Website” means the FlagSentry website, online store, customer portal, dashboard, order system, account system, and related online services.

“Products” means all items sold by FlagSentry, including but not limited to flags, replacement flags, flag controllers, FlagSentry devices, accessories, parts, hardware, mounting components, speakers, audio components, public address components, sensors, solar components, cellular components, and related items.

“Services” means any software, dashboard access, subscription service, alert service, replacement reminder, device monitoring, setup assistance, customer support, firmware update, configuration service, communication service, or other service provided by FlagSentry.

“FlagSentry Device” means a flag control device, flagpole automation device, flag movement device, controller, monitoring system, public address/audio system, speaker-equipped controller, warning device, or related hardware sold or supported by FlagSentry.

“Drop-Ship Product” means a product sold by FlagSentry but shipped directly to the customer by a manufacturer, supplier, vendor, fulfillment partner, or other third party.

“Protected Parties” means Guru Gear LLC, the FlagSentry brand and product line, any future FlagSentry legal entity, and their current and future owners, members, managers, officers, directors, employees, contractors, agents, representatives, affiliates, subsidiaries, parent companies, successors, assigns, transferees, purchasers, licensees, suppliers, manufacturers, developers, installers, fulfillment providers, payment processors, hosting providers, service providers, and any party involved in designing, developing, manufacturing, selling, supplying, fulfilling, installing, supporting, servicing, hosting, operating, or maintaining FlagSentry products, software, websites, dashboards, or services.

2. Acceptance of Terms

By using this website or purchasing any product or service from FlagSentry, you agree that you have read, understood, and accepted these Terms.

If you are using the website, purchasing products, or using services on behalf of a business, municipality, school, institution, nonprofit, government entity, or other organization, you represent that you have authority to bind that organization to these Terms.

FlagSentry may update these Terms at any time. The updated version will be posted on this website with a revised “Last Updated” date.

Continued use of the website, products, dashboard, or services after changes are posted means you accept the updated Terms.

3. Protected Parties

All disclaimers, warranty limitations, limitations of liability, indemnities, releases, defenses, and protections in these Terms apply to the fullest extent permitted by law to the Protected Parties.

The Protected Parties may rely on and enforce the protections in these Terms even if they are not individually named as parties.

No transfer, assignment, reorganization, merger, sale, license, or change in operating entity shall reduce, waive, or eliminate any limitation of liability, disclaimer, indemnity right, warranty limitation, intellectual property right, data right, payment right, customer obligation, supplier obligation, or other protection provided to Guru Gear LLC, FlagSentry, or any Protected Party.

4. Assignment, Transfer, and Successors

FlagSentry may assign, transfer, delegate, license, sell, merge, reorganize, or otherwise transfer any rights or obligations related to the FlagSentry product line, website, dashboard, software, hardware, services, customer accounts, supplier relationships, intellectual property, or business operations to a successor, affiliate, purchaser, licensee, assignee, transferee, or future operating company.

You agree that these Terms shall remain binding and shall benefit Guru Gear LLC, FlagSentry, and any successor, assignee, transferee, licensee, affiliate, purchaser, merged entity, reorganized entity, or future company that owns, operates, licenses, acquires, or continues the FlagSentry business or product line.

You may not assign your rights or obligations under these Terms without written permission from FlagSentry.

You may use this website only for lawful purposes.

6. Product Sales

FlagSentry sells flags, replacement flags, flag controllers, flag automation products, accessories, and related products.

Some products may be manufactured, supplied, or fulfilled by third-party American manufacturers, suppliers, vendors, or fulfillment partners.

When you purchase a product from FlagSentry, your purchase is with FlagSentry unless clearly stated otherwise.

FlagSentry may use third-party manufacturers or suppliers to fulfill certain orders by drop shipment directly to you.

FlagSentry may change, update, discontinue, pause, remove, or replace products at any time.

Product availability is not guaranteed until the order is accepted and fulfilled.

7. American-Made Flag Policy

FlagSentry’s intent is to sell American-made flags.

FlagSentry will not knowingly sell flags that are not American made unless a specific written exception is clearly disclosed to the customer before purchase.

FlagSentry may rely on information, certifications, and representations provided by manufacturers and suppliers regarding country of origin.

If FlagSentry discovers that product information, country-of-origin information, or American-made status is incorrect, FlagSentry may cancel orders, remove listings, update product descriptions, issue refunds where appropriate, or take other corrective action.

Customer understands that country-of-origin claims may depend on supplier certifications and manufacturing information provided to FlagSentry.

8. Product Descriptions, Photos, and Specifications

FlagSentry attempts to provide accurate product descriptions, photos, specifications, prices, sizes, colors, materials, and availability information.

However, product images, colors, dimensions, materials, finishes, and details may vary based on photography, screen display, supplier changes, manufacturing tolerances, lighting, and product updates.

FlagSentry does not guarantee that product photos will perfectly match the delivered product in every minor detail.

If a product is materially different from the description at the time of sale, customer must notify FlagSentry promptly.

FlagSentry may correct errors, update listings, cancel affected orders, or issue refunds where appropriate.

9. Pricing

All prices are listed in U.S. dollars unless otherwise stated.

Prices may change without notice.

FlagSentry is not responsible for typographical errors, incorrect prices, supplier price changes, technical errors, website display errors, or checkout calculation errors.

If a product is listed at an incorrect price, FlagSentry may cancel the order and issue a refund, even if the order has already been submitted.

Taxes, shipping, handling, insurance, installation, subscriptions, accessories, and optional services may be charged separately.

10. Order Acceptance

An order confirmation email means we received your order. It does not necessarily mean the order has been accepted, approved, verified, fulfilled, or shipped.

For municipalities, businesses, schools, government entities, or approved institutional customers, FlagSentry may offer invoice billing, purchase order billing, or custom payment terms at its discretion.

FlagSentry may require payment verification before processing or shipping an order.

Customer represents that all payment information provided is accurate, authorized, and lawfully used.

12. Fraud Prevention

FlagSentry may use fraud-screening tools, manual review, address verification, payment verification, identity verification, or customer verification before fulfilling an order.

FlagSentry may refuse, cancel, or delay any order that appears suspicious.

Customer agrees not to place orders using stolen payment information, unauthorized payment methods, false identities, false business information, fake addresses, freight-forwarding fraud, or other deceptive practices.

FlagSentry may report suspected fraud to payment processors, carriers, suppliers, manufacturers, law enforcement, or affected parties where appropriate.

13. Shipping Area

FlagSentry currently accepts standard online orders for delivery within the fifty United States only.

International orders, U.S. territories, APO/FPO addresses, freight-forwarder addresses, hotel addresses, temporary addresses, mail drops, and other special shipping arrangements are not accepted through standard checkout unless approved in advance.

Customers interested in placing a special-location or international order may contact FlagSentry for review.

Approved customers may be granted access to special ordering options after verification.

FlagSentry reserves the right to cancel and refund any order that cannot be safely, legally, or reliably fulfilled.

14. Customer Checkout Shipping Certification

By placing an order, customer confirms that the delivery address is located within the fifty United States and is not a freight-forwarder, mail drop, hotel, temporary address, international address, U.S. territory, or APO/FPO address unless previously approved by FlagSentry.

FlagSentry reserves the right to hold, cancel, or require additional verification for orders involving unusual shipping destinations, address changes, bulk quantities, custom products, or other risk factors.

15. Shipping Times

Shipping times, fulfillment times, handling times, delivery estimates, and arrival dates are estimates only unless expressly guaranteed in writing.

Some products may ship directly from FlagSentry.

Some products may ship directly from a manufacturer, supplier, vendor, or fulfillment partner.

Some products may require customization, assembly, programming, configuration, testing, proof approval, supplier processing, or special packaging before shipment.

FlagSentry will make reasonable efforts to ship products within the stated or estimated time.

If an order is delayed, FlagSentry may notify the customer and provide available options, which may include waiting for shipment, accepting a substitute, modifying the order, or canceling the order for a refund where required or appropriate.

16. Drop-Ship Orders

Certain products may be shipped directly to the customer by a manufacturer, supplier, vendor, fulfillment partner, or other third party.

For drop-ship orders, FlagSentry may provide the supplier with information reasonably necessary to fulfill the order, including name, shipping address, phone number if needed by carrier, product ordered, quantity, shipping method, and fulfillment instructions.

FlagSentry does not authorize suppliers to market directly to customers, add customers to mailing lists, or use customer information for unrelated purposes.

Customer acknowledges that supplier-fulfilled orders may involve supplier handling times, supplier stock status, supplier packaging, supplier tracking, supplier policies, and supplier carrier arrangements.

FlagSentry remains the customer-facing seller unless otherwise stated.

17. Shipping Charges

Shipping charges may be calculated based on product size, weight, destination, carrier, shipping method, supplier charges, packaging requirements, insurance, signature requirements, and handling needs.

Shipping charges may vary by product and supplier.

Shipping charges are not guaranteed until checkout is completed or a custom quote is accepted.

For large, bulk, municipal, commercial, or custom orders, FlagSentry may provide a separate shipping quote.

18. Delivery, Risk of Loss, and Package Theft

Title and risk of loss may pass to the customer when the product is delivered to the shipping address provided by customer, unless otherwise required by law or agreed in writing.

Customer is responsible for providing a safe and accurate delivery address.

FlagSentry is not responsible for theft, loss, weather damage, misplacement, or unauthorized removal of packages after confirmed delivery to the address provided by customer.

For high-value orders, FlagSentry may require signature confirmation, insurance, business-address delivery, or other special delivery methods.

If tracking shows delivery but customer claims the package was stolen or missing, FlagSentry may assist with a carrier claim but does not guarantee replacement or refund.

If a package is lost before delivery, FlagSentry will work with the carrier or supplier to determine the appropriate resolution.

19. Address Errors

Customer is responsible for providing a complete and accurate shipping address.

FlagSentry is not responsible for orders shipped to an incorrect address provided by customer.

If customer provides an incorrect address, customer may be responsible for reshipment costs, replacement costs, carrier intercept fees, return shipping, and other related costs.

Address changes after order placement are not guaranteed.

FlagSentry may refuse address changes that appear suspicious or increase fraud risk.

20. Returns

FlagSentry may accept returns according to the return policy posted on the website or provided at the time of sale.

Return eligibility may vary by product.

Unused, standard, non-custom products may be returnable within the stated return window if returned in acceptable condition.

Custom products, special-order products, installed products, used products, damaged products, programmed products, electrical components, opened electronics, configured devices, clearance items, and products marked final sale may be non-returnable unless defective or otherwise required by law.

Customer must contact FlagSentry for return authorization before returning any product.

Unauthorized returns may be refused.

Customer may be responsible for return shipping unless the return is caused by FlagSentry or supplier error.

Refunds may be reduced by shipping charges, restocking fees, missing parts, damage, use, installation, wear, or loss of resale value where permitted.

21. Custom Products

Custom flags, custom artwork, custom printing, custom programming, special configurations, modified devices, and special-order products may not be canceled, returned, or refunded once production, proof approval, programming, configuration, or fulfillment has begun.

Customer is responsible for reviewing proofs, spelling, colors, orientation, size, artwork, logos, wording, and layout before approval.

FlagSentry and its suppliers are not responsible for errors contained in customer-approved proofs.

If a custom product differs materially from the approved proof due to manufacturing error, FlagSentry will work with the supplier to correct the issue.

22. Refunds

Approved refunds will generally be issued to the original payment method.

Refund timing may depend on payment processor, bank, card issuer, supplier review, return inspection, or claim resolution.

Original shipping charges may be non-refundable unless the return is caused by FlagSentry or supplier error.

Expedited shipping, custom fees, special handling, installation, programming, subscription fees, and service fees may be non-refundable unless otherwise stated.

FlagSentry may deny refunds for abuse of the return process, fraudulent claims, damaged returns, missing parts, altered products, or products returned outside the approved return process.

23. Chargebacks and Payment Disputes

Customer agrees to contact FlagSentry first to resolve order issues before filing a chargeback or payment dispute.

Improper chargebacks, false non-delivery claims, friendly fraud, payment abuse, or misuse of the dispute process may result in account suspension, order cancellation, refusal of future sales, collection activity, or reporting to payment processors.

FlagSentry reserves the right to provide order records, tracking information, delivery confirmation, customer communications, proof of use, fraud-screening information, IP information, account information, and other evidence to payment processors, banks, carriers, suppliers, manufacturers, and law enforcement when responding to disputes.

24. Warranties Generally

Products may include a written limited warranty provided by FlagSentry, the manufacturer, the supplier, or another third party.

Warranty coverage varies by product.

Any warranty provided with a product is limited to the terms stated in the written warranty for that product.

No employee, contractor, dealer, installer, supplier, manufacturer, or representative may expand or modify a written warranty unless authorized by FlagSentry in writing.

Oral statements, general marketing descriptions, website content, demonstrations, examples, photos, videos, estimates, and support comments are not warranties unless expressly stated as a written warranty.

25. FlagSentry Device Limited Warranty

Unless a different written warranty is provided at the time of sale, FlagSentry hardware products may be covered by a limited warranty against defects in materials and workmanship for a period of one (1) year from the date of purchase.

This limited warranty applies only to the original purchaser and only to products used under normal conditions, properly installed, properly maintained, and used according to instructions.

This limited warranty does not cover:

26. Important Device Disclaimer

FlagSentry devices are designed to assist with flag control, automation, monitoring, announcements, reminders, warnings, and related convenience functions.

FlagSentry devices are not life-safety devices.

FlagSentry devices are not emergency alert systems.

FlagSentry devices are not certified public warning systems.

FlagSentry devices are not a substitute for official weather alerts, emergency services, emergency management systems, fire alarms, security systems, evacuation systems, sirens, radios, NOAA weather radios, public safety systems, or human judgment.

Customer must not rely on a FlagSentry device as the sole source of emergency information, weather information, public safety warnings, evacuation notices, emergency instructions, or life-safety communications.

Customer remains responsible for monitoring official weather, emergency, governmental, and public safety sources.

27. Public Address, Speaker, Audio, and Warning Features

Some FlagSentry devices may include or support speakers, public address functions, audio playback, ceremonial audio, text-to-speech, tones, chimes, alerts, warnings, sirens, announcements, weather-related audio, half-staff announcements, scheduled messages, or other sound output.

These features are provided for convenience, ceremonial, informational, or supplemental purposes only.

FlagSentry does not guarantee that any audio, public address, warning, or speaker feature will be heard, understood, activated, delivered, played at the correct time, played at the correct volume, or function without interruption.

Audio and warning functions may fail, be delayed, be too quiet, be distorted, be blocked by noise, be affected by configuration, be affected by speaker placement, be affected by weather, be affected by power loss, be affected by network failure, or be affected by hardware or software issues.

Customer is responsible for ensuring that use of audio, speaker, warning, announcement, or public address features complies with all applicable laws, ordinances, noise rules, workplace rules, school rules, municipal rules, HOA rules, permit requirements, and property restrictions.

Customer is responsible for setting safe volume levels and appropriate schedules.

FlagSentry is not responsible for fines, complaints, disturbances, missed announcements, misunderstood announcements, nuisance claims, noise complaints, public complaints, or damages arising from use or failure of audio, speaker, public address, or warning features.

28. Weather Alert and Warning Disclaimer

FlagSentry devices and services may display, receive, announce, or respond to weather-related information, including weather alerts, wind conditions, storm warnings, National Weather Service information, local sensor readings, or other weather-related data.

Weather data may be delayed, unavailable, inaccurate, incomplete, misread, interrupted, or affected by third-party systems, internet outages, cellular outages, Wi-Fi issues, sensor issues, configuration errors, service interruptions, or local conditions.

FlagSentry does not guarantee the accuracy, completeness, timeliness, or availability of weather data, weather alerts, wind readings, storm warnings, emergency alerts, or weather-based automation.

FlagSentry is not responsible for property damage, injury, death, missed warnings, false warnings, delayed warnings, flag damage, flagpole damage, equipment damage, or other losses arising from reliance on weather data or weather-based automation.

Customer must monitor official weather sources and use independent judgment.

29. Flag Automation Disclaimer

FlagSentry devices may raise, lower, stow, or move flags automatically or manually based on schedules, sunrise/sunset times, half-staff events, wind conditions, weather information, customer settings, dashboard commands, sensor readings, or other inputs.

Flag movement may fail, be delayed, stop early, move incorrectly, move unexpectedly, or fail to move due to many causes, including but not limited to:

Customer is responsible for visually inspecting flag position, flag condition, flagpole condition, mounting, wiring, safety, and proper operation.

FlagSentry is not responsible for damage to flags, poles, ropes, halyards, brackets, buildings, landscaping, vehicles, people, animals, or property caused by improper installation, improper configuration, weather, mechanical failure, or failure to supervise the system.

30. Half-Staff, Ceremonial, and Flag Etiquette Disclaimer

FlagSentry may provide half-staff schedules, flag etiquette reminders, ceremonial audio, sunrise/sunset events, patriotic audio, taps playback, municipal schedules, custom schedules, or other flag-related automation.

Flag etiquette, half-staff rules, governmental proclamations, local rules, institutional policies, and ceremonial practices may vary by jurisdiction, organization, or circumstance.

FlagSentry does not guarantee that half-staff information, ceremonial timing, sunrise/sunset timing, or flag etiquette information will be complete, current, accurate, or suitable for every customer, jurisdiction, institution, or situation.

Customer remains responsible for confirming applicable flag rules, half-staff proclamations, local policies, and ceremonial requirements. See the United States Flag Code for the federal customs and rules for display of the flag.

FlagSentry is not responsible for missed half-staff events, incorrect flag position, incorrect ceremony timing, failure to play audio, incorrect audio, or claims arising from flag etiquette disputes.

31. Connectivity Disclaimer

FlagSentry devices and services may rely on Wi-Fi, cellular service, internet access, GPS, local network access, cloud services, third-party servers, customer routers, carrier networks, power supplies, batteries, solar charging, or other systems not fully controlled by FlagSentry.

FlagSentry does not guarantee uninterrupted connectivity, dashboard access, alerts, remote control, firmware updates, cellular service, Wi-Fi service, GPS service, cloud service, or data delivery.

Customer is responsible for maintaining internet service, Wi-Fi coverage, cellular plan status, antenna placement, power supply, account credentials, network security, and other required infrastructure.

FlagSentry is not responsible for failures caused by internet providers, cellular carriers, routers, firewalls, weak signal, blocked antennas, expired cellular plans, local network changes, power outages, or third-party service failures.

32. Software, Firmware, and Dashboard Disclaimer

FlagSentry may provide software, firmware, dashboard access, customer portals, mobile-friendly pages, configuration tools, update tools, cloud services, APIs, alerts, logs, and related digital services.

Software and firmware may contain bugs, limitations, errors, incompatibilities, or security vulnerabilities.

Dashboard services may be unavailable, delayed, interrupted, or changed.

FlagSentry may update, modify, discontinue, or replace software, firmware, features, dashboard functions, subscription services, or online tools at any time.

Customer is responsible for keeping devices updated where updates are available and for following instructions.

FlagSentry is not responsible for losses caused by outdated firmware, failed updates, user configuration errors, third-party modifications, unsupported integrations, or unauthorized changes.

33. Installation Disclaimer

Unless FlagSentry separately agrees in writing to provide installation services, customer is responsible for installation.

Improper installation can cause property damage, device failure, flag damage, electrical hazards, injury, or death.

Customer is responsible for ensuring that installation complies with all applicable laws, codes, ordinances, electrical requirements, building requirements, property rules, HOA rules, workplace rules, and safety standards.

Customer should use qualified installers, electricians, contractors, or technicians where appropriate.

FlagSentry is not responsible for improper installation, unsafe mounting, poor wiring, inadequate power supply, unsuitable flagpoles, defective poles, unsuitable structures, or failure to follow instructions.

34. Professional Use and Supervision

Customers using FlagSentry devices in commercial, municipal, school, government, institutional, public-facing, or fleet settings are responsible for assigning trained personnel to monitor, inspect, and maintain the system.

FlagSentry devices should be regularly inspected for safe operation, proper mounting, wire condition, corrosion, water intrusion, flag wear, mechanical wear, sensor function, and proper movement.

Customer is responsible for deciding whether a product is suitable for the customer’s intended use.

FlagSentry does not guarantee that any product is suitable for every flagpole, location, climate, use case, institution, municipality, emergency scenario, or customer requirement.

35. Subscriptions and Services

FlagSentry may offer free or paid services, subscriptions, monitoring features, dashboard access, replacement reminders, alert services, cellular services, software features, municipal/fleet tools, and other service plans.

Subscription terms, pricing, included features, data limits, renewal terms, cancellation rules, and service limitations may vary by plan.

FlagSentry may change subscription features, pricing, availability, or plan structure with notice where required.

Failure to maintain an active subscription, cellular plan, internet connection, account access, or required service may limit or disable certain features.

Subscription services are not guaranteed to be uninterrupted, error-free, or available at all times.

36. Cellular and Third-Party Service Plans

Some FlagSentry devices may use cellular service, SIM cards, prepaid plans, data plans, SMS plans, GPS services, carrier networks, or other third-party services.

Third-party services are subject to carrier coverage, plan limits, network availability, service terms, device compatibility, and renewal requirements.

FlagSentry is not responsible for carrier outages, weak signal, cellular dead zones, plan expiration, data limits, SMS limits, network changes, SIM issues, roaming issues, or carrier discontinuation of service.

Customer is responsible for renewing any required third-party plan unless FlagSentry expressly provides the plan as part of a paid service.

37. Replacement Flag System

FlagSentry may offer replacement flag reminders, automated replacement recommendations, dashboard ordering, device-linked flag identification, flag age tracking, wear tracking, municipal/fleet replacement tools, and related services.

Replacement recommendations are estimates only.

Actual flag wear depends on weather, wind, sun exposure, material, usage, location, flag size, flagpole condition, and customer maintenance.

FlagSentry does not guarantee that a replacement recommendation will occur before a flag becomes worn, torn, faded, damaged, or unsuitable.

Customer remains responsible for inspecting flags and replacing them when appropriate.

38. Customer Accounts

Customer may need to create an account to use certain website, dashboard, subscription, or device features.

Customer is responsible for maintaining the confidentiality of usernames, passwords, and account access.

Customer is responsible for all activity under customer’s account.

Customer must notify FlagSentry promptly of unauthorized access or suspected account compromise.

FlagSentry may suspend or terminate accounts for misuse, fraud, nonpayment, security concerns, violation of these Terms, or other reasonable cause.

39. Customer Data and Privacy

FlagSentry may collect information necessary to process orders, provide services, operate devices, provide support, manage accounts, fulfill products, process payments, communicate with customers, improve services, and comply with legal obligations.

FlagSentry may share necessary order information with suppliers, manufacturers, carriers, payment processors, service providers, hosting providers, software providers, support providers, and other parties needed to fulfill orders or provide services.

FlagSentry does not authorize suppliers to use customer information for direct marketing unless customer separately consents or FlagSentry approves.

Use of the website and services may also be governed by a separate Privacy Policy.

40. Customer Content and Custom Artwork

Customer represents that any artwork, logo, text, design, image, file, trademark, seal, emblem, or other content submitted to FlagSentry is owned by customer or lawfully authorized for customer’s use.

Customer grants FlagSentry and its suppliers permission to use submitted content as needed to process, proof, manufacture, ship, support, or service the customer’s order.

Customer is responsible for ensuring that submitted content does not infringe copyrights, trademarks, publicity rights, government seals, institutional marks, or other rights.

FlagSentry may refuse custom orders that appear unlawful, infringing, deceptive, offensive, unsafe, or unsuitable.

Customer agrees to indemnify FlagSentry and the Protected Parties for claims arising from customer-submitted content.

41. Prohibited Uses of Products

Customer shall not use FlagSentry products or services:

42. No Guarantee of Results

FlagSentry does not guarantee any particular outcome from use of its products or services.

43. Limitation of Liability

To the maximum extent permitted by law, FlagSentry and the Protected Parties shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including but not limited to lost profits, lost revenue, loss of goodwill, loss of data, business interruption, loss of use, replacement labor, installation labor, removal labor, downtime, missed ceremonies, missed warnings, flag etiquette disputes, public complaints, noise complaints, property damage, personal injury, or other losses arising from or related to use or failure of products or services.

To the maximum extent permitted by law, the total liability of FlagSentry and all Protected Parties for any claim arising from or related to a product or service shall not exceed the amount paid by customer to FlagSentry for the specific product or service giving rise to the claim.

Some states do not allow certain limitations of liability, so some limitations may not apply to certain customers.

44. Disclaimer of Warranties

Except for any written limited warranty expressly provided by FlagSentry, products and services are provided “as is” and “as available” to the maximum extent permitted by law.

FlagSentry disclaims all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, accuracy, reliability, compatibility, and suitability for a specific use.

FlagSentry does not warrant that the website, dashboard, products, software, firmware, alerts, audio features, sensors, weather features, replacement systems, or services will be uninterrupted, error-free, secure, timely, accurate, or reliable.

Some states do not allow certain warranty disclaimers, so some disclaimers may not apply to certain customers.

45. Customer Responsibility for Safety

Customer is responsible for safe installation, safe operation, safe configuration, proper maintenance, supervision, inspection, and lawful use of all products.

Customer must use reasonable care when installing, operating, maintaining, or relying on any FlagSentry product.

Customer must not rely solely on FlagSentry products for emergency warnings, weather alerts, public safety announcements, life-safety decisions, or property protection.

Customer accepts responsibility for verifying that any product is appropriate for the customer’s location, flagpole, power source, network, environment, and intended use.

46. Indemnification by Customer

Customer agrees to defend, indemnify, and hold harmless FlagSentry and the Protected Parties from claims, damages, losses, liabilities, costs, and attorney fees arising from:

47. Third-Party Products and Services

FlagSentry products and services may interact with or rely on third-party products or services, including but not limited to manufacturers, suppliers, carriers, payment processors, weather data providers, cellular carriers, internet providers, cloud providers, mapping services, GPS services, APIs, sensors, speakers, amplifiers, solar components, batteries, routers, and customer-owned equipment.

FlagSentry is not responsible for third-party service outages, failures, defects, delays, errors, policy changes, discontinuation, pricing changes, or incompatibilities.

Third-party products may be subject to their own warranties, terms, and limitations.

48. Installers, Contractors, and Dealers

If customer uses an installer, contractor, electrician, dealer, reseller, technician, municipality employee, maintenance worker, or other third party to install or service a product, that person or entity is not authorized to modify these Terms or expand FlagSentry’s obligations unless FlagSentry provides written authorization.

FlagSentry is not responsible for the acts, omissions, workmanship, pricing, representations, or warranties of independent installers, contractors, dealers, or service providers.

49. Product Modification

Unauthorized modification, repair, tampering, reverse engineering, firmware changes, wiring changes, enclosure modification, speaker modification, antenna modification, sensor modification, or use outside instructions may void warranty coverage and create safety risks.

FlagSentry is not responsible for damage, malfunction, injury, or loss caused by unauthorized modifications.

50. Intellectual Property

All website content, software, firmware, text, graphics, logos, product names, designs, dashboard layouts, images, videos, documentation, data structures, product concepts, replacement systems, and other materials owned by FlagSentry or Guru Gear LLC are protected by intellectual property laws.

Customer may not copy, reproduce, distribute, modify, reverse engineer, scrape, resell, or exploit FlagSentry content, software, firmware, dashboard systems, or product designs without written permission.

Purchase of a product does not transfer ownership of FlagSentry intellectual property.

51. Errors and Omissions

FlagSentry reserves the right to correct errors, inaccuracies, or omissions on the website, including pricing, product descriptions, shipping information, availability, specifications, warranty information, photos, and service descriptions.

FlagSentry may cancel or modify orders affected by errors.

FlagSentry is not responsible for typographical errors, supplier data errors, website display errors, or technical problems.

52. Cancellation by FlagSentry

FlagSentry may cancel any order before fulfillment for any reason, including but not limited to fraud risk, supplier unavailability, pricing error, shipping issue, legal concern, product discontinuation, address concern, customer verification concern, or inability to fulfill.

If FlagSentry cancels an order after payment has been captured, FlagSentry will issue a refund for the canceled portion of the order.

53. Cancellation by Customer

Customer may request cancellation of an order.

Cancellation is not guaranteed.

Orders that have already shipped, entered production, been customized, been programmed, been configured, been transferred to a supplier, or been prepared for shipment may not be cancelable.

Custom products and special orders may be non-cancelable once work has begun.

54. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law rules.

To the extent permitted by law, any dispute shall be brought in the state or federal courts serving Polk County, Florida.

Customer agrees to submit to the jurisdiction of those courts.

55. Dispute Resolution

Customer agrees to contact FlagSentry first and attempt to resolve any issue informally before filing a lawsuit, chargeback, complaint, or other claim.

FlagSentry values fair resolution of customer issues, but customer agrees not to misuse legal, payment, review, or complaint systems to make false claims or obtain improper refunds.

Nothing in these Terms prevents FlagSentry from seeking immediate injunctive or equitable relief to protect its intellectual property, customer data, business operations, website, dashboard, software, confidential information, or customer relationships.

56. Severability

If any part of these Terms is found unenforceable, the remaining parts will remain in effect.

An unenforceable provision shall be interpreted as closely as possible to its original intent while remaining lawful.

57. No Waiver

FlagSentry’s failure to enforce any part of these Terms does not waive FlagSentry’s right to enforce that part later.

58. Entire Agreement

These Terms, together with any posted policies, written warranty, product instructions, subscription terms, privacy policy, return policy, and order-specific terms, form the agreement between customer and FlagSentry regarding use of the website, products, and services.

If there is a conflict between these Terms and a product-specific written warranty, the product-specific warranty controls only for that warranty issue.
